Vendor Partnership & Presentation Agreement *

TermsThis Vendor Partnership & Presentation Agreement (the "Agreement") is entered into by and between BLKCNVS, LLC dba Velocity DFW ("Organizer") and the undersigned vendor ("Vendor") effective as of the date of electronic signature. 1. Event Model & Scope Organizer produces a curated, presentation-based event model designed to connect high-intent buyers with complementary, non-competing service and product providers. Vendor has purchased an exclusive presentation slot for a single event session. 2. Deliverables & Presentation Format ● Stage Time: Vendor is granted 30 minutes of dedicated, uninterrupted stage time during the designated event session. ● Ecosystem Curation: Each event features exactly three non-competing, complementary vendors to ensure mutual value and zero category overlap. ● Format Restriction: No physical expo booths, trade show tables, or wandering sales floors are provided or permitted. All engagement occurs via the stage presentation and subsequent direct attendee networking. 3. Financial Terms ● Presentation Fee: Vendor agrees to pay a non-refundable presentation fee of $500, payable immediately at checkout via the Organizer’s designated online payment processing platform. ● Payment Processing: Payment is processed securely online. Receipt/invoice is generated upon successful transaction completion. 4. Intellectual Property & Presentation Guidelines ● Content Originality: Vendor warrants that all presentation materials, slide decks, trademarks, and intellectual property used during the event belong to Vendor or that Vendor has full legal authority to use them. ● Quality Standards: Vendor agrees to align their 20-minute presentation with the structured framework provided during onboarding (Hook, Core Framework, Proof, Call to Action) focusing on high-value education and strategic solutions rather than aggressive, unearned pitching. 5. Media, Recording & Photography Rights ● Vendor Rights: Vendor is fully permitted to record, stream, or photograph their own 30-minute presentation. Vendor may use this captured media for their own marketing, social media, and promotional purposes following the event. ● Organizer Rights: Organizer reserves the right to record, photograph, or stream the overall event, including Vendor's presentation, for promotional and archival use. 6. Cancellation & Rescheduling Policy The $500 presentation fee is strictly non-refundable. If Vendor needs to reschedule their presentation slot due to an unforeseen emergency, Vendor must notify Organizer at least five (5) days prior to the event date to be eligible for a slot reassignment. 7. Code of Conduct & Content Standards Vendor agrees to maintain a high level of professional conduct. Organizer reserves the right to halt any presentation or terminate this Agreement immediately without refund if Vendor engages in discriminatory language, intentionally misleading claims, or aggressive sales tactics that violate the integrity of the event. 8. Force Majeure Neither party shall be held liable for any failure to perform or delay in performance of its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, severe weather, public health emergencies, utility failures, or any other cause beyond the reasonable control of the affected party. 9. Independent Contractor Relationship Vendor is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between Organizer and Vendor. Vendor retains full responsibility for its own business operations, taxes, and client deliverables. 10. Limitation of Liability & Indemnification ● No Attendance Guarantees: While Organizer utilizes targeted audience acquisition strategies to drive attendance, Organizer does not guarantee specific revenue figures, lead counts, or sales conversions resulting from the presentation. ● Indemnity: Vendor agrees to indemnify, defend, and hold harmless Organizer, its officers, directors, and agents from any claims, damages, liabilities, or expenses arising out of Vendor's presentation content, products, services, or breach of this Agreement. 11. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
